When are Mediobanca's Annual General Meetings held?

AGMs to adopt the bank's accounts are generally held on 28 October of each year. Check the Calendar of events to see when the next AGM is to be held.

What do I have to do to attend an AGM or be represented by proxy?

You are entitled to attend if you produce proof of share ownership in the form of a declaration issued by the authorized intermediary with which your shares are deposited.
If your shares are still represented by certificates you may attend an AGM, provided you surrender your certificates to an authorized intermediary in time for them to be booked for trading in dematerialized form and for the declaration to be issued. Remember that the securities are unavailable from the date on which the certificate is released until the date on which the AGM takes place.
If you wish to be represented by a proxy, you should complete the proxy form on the declaration, giving particulars of the proxy, and sign it.

When was Mediobanca's last dividend paid?

The latest dividend, covering the year ended 30 June 2007, amounts to EUR 0.65 per share, is payable as from 22 November 2007 and the shares went ex-rights on 19 November 2007. 

Can I collect dividends for previous years?

Under Article 2949 of the Italian Civil Code, dividend rights lapse after five years. However, Mediobanca will pay all uncollected dividends irrespective of any time limit, upon shareholders presenting their share certificates for detachment of the coupons involved. This concession also applies to dividends on uncollected bonus shares.

What does Mediobanca do?

Mediobanca is an investment bank. It provides medium- and long-term loans, arranges and participates in syndicates placing and underwriting bond and equity issues, and acquires holdings in financial, industrial and commercial enterprises. When does Mediobanca publish its annual report?

The annual report is made available at the bank's Head Office and at the offices of Borsa Italiana the day after it has been adopted at the Annual General Meeting, which is usually held on 28 October (see Calendar). The Directors' report on the accounts and the Statutory Auditors' review are made available to the public as required by law at the bank's Head Office and Borsa Italiana at least fifteen days before the Annual General Meeting.

Is it true that Mediobanca operates as an exclusive club ("salotto buono") for the chosen few and does not cater for smaller firms?

Mediobanca does business with growth-oriented companies that are leaders in their field and are looking for financial advice and services tailored to their specific needs. Many entrepreneurs are thus members of our "club", if such it may be defined, which is open to any business that fits this bill, including medium-size firms, to whom we devote special attention.
